Each year, many North Carolina corporations, limited liability companies (LLCs), and limited liability partnerships are required to file an Annual Report with the North Carolina Secretary of State.
Please note: Martin Starnes & Associates, CPAs, P.A. does not prepare or file North Carolina Annual Reports. These reports must be filed directly with the Secretary of State.
The Annual Report is a separate requirement from your tax return. Its purpose is to confirm or update basic information about your business, such as your legal name, principal office address, registered agent, and company officials. Most businesses must file their Annual Report by April 15 each year.
To file or check your Annual Report, visit the official North Carolina Secretary of State Annual Report filing page at:
https://www.sosnc.gov/divisions/business_registration/annual_report
On this page you can:
- Search for your business by name
- Access the online Annual Report filing system
- Find instructions for filing online or by mail
The current filing fee and exact deadline may vary based on your entity type, so it’s a good idea to confirm your filing details early and make plans to file before the deadline. We will provide another reminder as April approaches.
If you are unsure whether your entity is required to file or if you need assistance navigating the Secretary of State’s site, you can consult with your legal advisor or use the search tools on the state’s website to verify your status.
